Independent Contractor Agreement
This Independent Contractor Agreement (the "Agreement") is made and entered into on 17 July 2026, by and between:
1. Global Tech Inc., located at 123 Business Park, New York, NY 10001 (hereinafter referred to as the "Client").
AND
2. John Doe, located at 456 Creative Lane, Austin, TX 78701 (hereinafter referred to as the "Contractor").
Client and Contractor may collectively be referred to as the "Parties" and individually as a "Party".
1. Scope of Services
The Contractor agrees to provide the following services to the Client: website redesign and front-end development using React (the "Services"). The Contractor shall perform the Services in a professional and workmanlike manner.
2. Compensation and Payment
In consideration for the Services provided, the Client agrees to pay the Contractor as follows: $5,000 to be paid in two equal installments (50% upfront, 50% upon completion). Contractor shall invoice the Client, and the Client agrees to pay all valid invoices within 15 days of receipt unless otherwise specified.
3. Term and Termination
This Agreement shall commence on the Effective Date and shall continue until the completion of the Services, which is estimated to be on or before 31st October 2026, unless terminated earlier by either Party with written notice.
4. Independent Contractor Status
The Contractor is an independent contractor, and nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employer-employee relationship. The Contractor is solely responsible for all taxes, insurance, and benefits.
5. Intellectual Property
Upon full receipt of payment as outlined in Section 2, the Contractor agrees that any works, deliverables, or inventions created under this Agreement shall be considered "work made for hire" and all intellectual property rights shall belong exclusively to the Client. Until full payment is received, the Contractor retains all rights.
6. Confidentiality
The Contractor acknowledges that during the course of performing the Services, they may have access to the Client's confidential information. The Contractor agrees to keep such information strictly confidential and not disclose it to any third party.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
